You must read and accept these Terms and Conditions before registering with MIRSK Digital ApS (hereinafter MIRSK). By using MIRSK’s services, you accept that you are bound by the Terms and that these function as a written agreement between you and MIRSK.

MIRSK reserves the right to change or revise the Terms at any time without notice to you, and you agree that you are bound by such changes or revisions. Unless otherwise expressly stated, any new feature that complements or enhances the current Service is subject to the Terms. If you continue to use MIRSK’s Services after such new features become active, your use of the Service will only constitute an acceptance of the new features and the changes they entail in MIRSK’s Services in general.

Description of MIRSK’s Service: MIRSK’s product is a cloud-based dictation application [Service (s)] from MIRSK Digital ApS. The use of the Service is at your own risk. The service is offered on an existing basis, and you accept that your content may be transported unencrypted across the Internet.

Suitability criteria

To be able to use MIRSK’s Services, you must be at least thirteen (13) years old. You must provide your current and accurate information about your person, your contact information and other information that you may be asked in connection with the registration process or in connection with your use of MIRSK’s Services. You are responsible for keeping your Service Password and account information confidential, and you are responsible for any activities that may arise in connection with it. MIRSK reserves the right to refuse to offer its Service to anyone at any given time, without MIRSK having to state any reason for doing so.

Proper use

You agree that you will use MIRSK’s Services in accordance with applicable local, state, national and international laws, rules and regulations, including any rule regarding the transmission of technical data that is exported from your country of residence. It is not permitted to authorize, induce or advise others to:

Use MIRSK’s Services to upload, transmit or otherwise distribute content that is illegal, defamatory, harassing, abusive, fraudulent, obscene, viruses or otherwise offensive. It is MIRSK that assesses whether content is offensive in any way;
Use MIRSK’s Services in connection with a fraudulent or generally inappropriate purpose, including reselling, copying, reproducing or exploiting all or part of MIRSK’s Services without MIRSK’s prior written consent;
Use a robot, spider, other automated equipment or a manual process to monitor or copy content from MIRSK’s Service.

Violation of any of the foregoing provisions may result in the immediate termination of the agreement between you and MIRSK, and MIRSK reserves the right to take all legal steps that accrue to MIRSK in this regard.

Terms of payment

Monthly terms:

A valid credit card is required if you need to use MIRSK’s Services on a monthly basis after the 30 day free trial period. The free trial period is a one-time offer for all new, registered users who want access to MIRSK’s Services. MIRSK’s Services are then paid for in advance on a monthly basis, and it is not possible to make a claim for a refund. Thus, there will be no refunds for Services that are interrupted before the end of a month, for upgrade and downgrade accounts or for unused months in an open account.

Annual conditions:

The offer of a free trial period of 30 days applies to all new, registered and unique users and entitles the recipient of the offer to use MIRSK’s Service for 30 days. Pre-payment by credit card is required to use MIRSK’s Service after the expiry of the 30 days. MIRSK’s Service is charged in advance and on an annual basis. It is possible in connection with the termination of an account to request refunds for non-commenced months between the date of termination of the account and the date until which the user has paid.

All fees are charged without regard to taxes and duties imposed by the authorities. You are solely responsible for the payment of such taxes and duties, if any.

Changes in Prices and Services

MIRSK reserves the right to change, suspend or stop the Service at any time and for any reason. MIRSK reserves the right to change prices with 30 days notice. This notice can be given at any time by notification via MIRSK’s website (insert hyperlink to the homepage) or via MIRSK’s service.

Withdrawal and termination

As a user of MIRSK’s services, you are responsible for terminating your agreement. You are entitled to terminate the agreement at any time on our website by clicking on my account and then account settings (Insert hyperlink: manage account or account settings). If you represent a company, your company has a simple “terminate account” button. Requests for termination by e-mail or telephone calls are not considered valid termination. MIRSK does not refund payments if you cancel the subscription before the end of the prepaid month. No termination fee is charged. Termination is immediate and the user’s content is deleted immediately after the termination.

MIRSK may – at any time – terminate Services, terminate this Agreement or suspend and close your account. In the event of the closure of your account, it will be disabled and you will no longer have access to the account or any of the files that were on it – even though there may be data remaining in our system.

Intellectual property rights

By entering into this agreement, you acknowledge that MIRSK holds all rights to this service, including all intellectual property rights. Please note that these rights are also protected by Danish and international intellectual property laws. You further agree that you will not copy, reproduce, modify, modify or develop any products based on this service. You also agree that you will not use a robot, spider or other automatic equipment, or a manual process to monitor or copy content from the Service. MIRSK has no claim to intellectual property rights in the material you provide for the service.

Limitation of liability

By entering into this agreement, you agree to indemnify MIRSK from claims raised by a third party that may arise from or are related to your use of the Service. You further acknowledge to indemnify MIRSK from any liability and expenses that may arise from this claim – such as damages, damages, litigation, judgments, litigation costs and legal expenses. Failure by MIRSK to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. This Agreement constitutes the entire agreement between you and MIRSK and the basis for use of the Service, and it supersedes all prior agreements between you and MIRSK (including, but not limited to, all prior versions of this Agreement).
